The short version

Simpli Desktop is desktop software. It processes your documents on your own equipment, and we never receive them. We hold no copy of your matters, your documents or your clients' information, and we could not produce them if we were asked to.

What we receive from the Software is small and specific: the details needed to issue and activate your licence, the requests your installation makes when it downloads components from our content distribution network, and any diagnostic bundle you choose to send us. That is the whole list, and clause 9.7 of the End User Licence Agreement at https://simplixplor.app/eula states it in the same terms.

The Software collects no usage analytics and sends no automatic crash reports. Our website is different: it holds the account you create there, and it measures how the site is used. Section 12 explains the cookies involved. We do not use anything of yours to train artificial intelligence models.

This policy explains all of that in full, and sets out how to reach us, how to correct what we hold, and how to complain.

1. Who this policy covers

This policy applies to personal information we handle in connection with:

  • the Simpli Desktop software (the Software);
  • our website at https://simplixplor.app; and
  • our dealings with you as a customer, a prospective customer, or a person who contacts us.

It does not apply to personal information contained in the documents and data you load into the Software. That material stays on your equipment and we never receive it. Section 3 explains why that distinction matters, and who is responsible for what.

2. Personal information we collect

2.1 Licence and activation information

To issue and activate a licence we collect and hold:

  • your name, business name and email address, and the details of your Order;
  • your licence key and the Edition and entitlements attached to it; and
  • when you activate, the Software version and an identifier for the machine you activate on.

The machine identifier is read from the computer itself. On Windows it is the BIOS serial number reported by the operating system; on macOS it is the platform UUID. It is not a value we derive or hash, and we tell you that plainly because an earlier draft of our agreement described it inaccurately. We use it only to bind your licence to the device you activated it on, and to release that binding when you move to a replacement machine.

Activation is a single exchange. The Software does not verify your entitlement over the internet afterwards, and does not contact us periodically or in the background.

2.2 Component and model download information

After activation, the Software downloads the components it needs to run - runtimes, document converters and any local AI models your Edition includes - from our content distribution network, which is hosted with Microsoft Azure. Those requests disclose your IP address, the Software version, your operating system and processor architecture, and which components you asked for.

They do not transmit any of the documents or data you have loaded into the Software.

2.3 Diagnostic information you choose to send

If you strike a problem, you can ask the Software to assemble a diagnostic log bundle and send it to us. This never happens on its own: the Software shows you the contents first, and sends nothing without your instruction.

A diagnostic bundle can contain file names, folder paths, matter identifiers, custodian names, error text and, in some circumstances, fragments of document content. That means it can contain personal information belonging to other people, and it may contain material that is confidential or privileged. Review a bundle before you send it, and redact it if you need to. Section 6 sets out how we handle a bundle once we have it.

2.4 Website, account and correspondence

When you visit https://simplixplor.app, our web server records the ordinary information a web server records - your IP address, the pages requested, the time, and your browser's user agent - for security and to keep the site running. The website also measures how it is used: the pages you view, how quickly they load, the requests the site makes to our servers while you use it, the kind of device and browser you use, and your approximate location, which is worked out from your IP address. Section 12 describes the cookies involved.

When you create an account on the website we hold your name, your email address and your password, which we store encrypted, together with the licences and orders attached to the account. When you accept the licence agreement on the website before copying a licence key, we note the date and time and the IP address you accepted from, and keep them with your licence records as evidence of your acceptance. When you email us, complete a form, chat with us through the website, or ask for support, we hold that correspondence and the contact details in it.

2.5 Payment information

Where you buy a Subscription, our payment provider handles your card details. We do not see or store full card numbers. We hold the record of what was purchased, by whom, and when.

3. What we do not collect

This section is as important as the last one, and we would rather state it than have you assume it.

We do not receive your documents or your matters. Ingestion, text extraction, optical character recognition, indexing, embedding generation, search, clustering, personal information detection, redaction, review, tagging, production, and inference using local AI models all take place on your equipment. We hold no copy. We cannot search your data, recover it, or produce it in response to a request from anyone.

The Software does not collect usage analytics. It does not report which features you use, how often you use them, or how large your matters are. Our website measures its own use, as section 12 explains, and that tells us nothing about your matters.

The Software does not send automatic crash reports. If we ever introduce either of these in the Software, they will be off by default, they will be described here first, and you will be able to switch them off in the Software.

We do not use your data to train AI models. Not your documents, not your search terms, not the output the Software generates.

4. Services you connect, which are not us

Two features send data somewhere other than to us, and only if you switch them on.

Cloud AI providers. If you configure an AI provider such as OpenAI, Anthropic or Azure using your own account and your own API key, the Software sends the relevant material from your device directly to that provider. It does not pass through us. We do not see it, log it or retain it, and we cannot help with a deletion or access request concerning it. What that provider does with the material is governed by your agreement with them and by your own account settings. If your matter involves privileged, confidential or court-restricted material, the Software also supports local AI models, which send nothing outside your equipment.

Cloud data sources. If you connect a Google Drive, Microsoft OneDrive or Dropbox account as a source of documents, the Software authenticates to that service directly from your equipment and downloads what you select. Your authorisation credential is stored on your device. We never receive it and never receive the documents.

5. Why we collect what we collect

We use the information in section 2 to issue and activate licences and enforce their terms; to deliver the components the Software needs; to provide support and diagnose faults you report to us; to bill you and keep the records we are required to keep; to tell you about renewals, updates and changes to this policy or to the agreement; to run your website account and understand how the website is used, so we can improve it; and to keep our systems secure.

We do not sell personal information. We do not trade in it, and we do not disclose it for anyone else's marketing.

6. Who we disclose it to

We disclose personal information only to:

  • service providers who help us operate, being Microsoft Azure, which hosts our website, our customer accounts, our content distribution network and our website analytics; our payment provider, Stripe; our email provider, Mailjet; Re:amaze, which provides our support and live chat tooling; and hCaptcha, which protects the website's forms from automated abuse - in each case only so far as they need it to perform that function;
  • professional advisers, where we need advice; and
  • anyone else where the law requires it, or where you ask us to.

A diagnostic bundle you send us is seen only by the people working on your issue. We keep it for as long as it takes to resolve the matter and then delete it.

7. Sending information overseas

We are an Australian company, but not all of our records are held in Australia. Our website, the customer accounts and licence records behind it, and our website analytics are hosted with Microsoft Azure in the United States. The content distribution network from which the Software downloads its components is hosted with Microsoft Azure in Australia. Some of the other service providers in section 6 store or process data outside Australia, including in the United States and in other countries where they operate infrastructure. Before disclosing personal information to an overseas recipient we take reasonable steps to ensure it is handled consistently with the Australian Privacy Principles.

Where the UK GDPR or the EU GDPR applies to information you transfer to us, we act as an independent controller of the limited information described in section 2 - not as your processor, because we never receive the data you process with the Software. For those transfers the applicable mechanism is the UK International Data Transfer Agreement or the EU Standard Contractual Clauses (controller-to-controller module), and we will enter into the applicable instrument with you on request at support@simplixplor.app.

8. How we protect it

We restrict access to personal information to the people who need it, protect our systems with the controls appropriate to their sensitivity, and delete what we no longer need.

The security of the equipment holding your documents is yours, because that is where your documents are. Disk encryption, access control, endpoint security, physical security and backups on that equipment are matters we cannot reach and do not control. Clause 9.3 of the agreement at https://simplixplor.app/eula sets that out.

If a data breach occurs that is likely to result in serious harm, we will notify you and the Office of the Australian Information Commissioner as the Notifiable Data Breaches scheme requires.

9. How long we keep it

We keep licence and account records for as long as you hold a Subscription and afterwards for as long as we need them for tax, accounting and legal purposes. We keep diagnostic bundles only until the issue is resolved. We keep web server logs for a short period for security purposes. When we no longer need personal information, we delete it or de-identify it.

10. Accessing and correcting what we hold

You may ask us for a copy of the personal information we hold about you, and ask us to correct it if it is wrong. Write to support@simplixplor.app or to the address at the top of this policy. We will respond within a reasonable time, and ordinarily within 30 days.

There is no charge for making a request. We will tell you before incurring any cost for supplying it, and we will explain our reasons in writing if we cannot give you what you have asked for.

11. Complaints

If you think we have mishandled your personal information, tell us at support@simplixplor.app or by telephone on +61 412 176 418. We will acknowledge your complaint, investigate it, and write to you with the outcome, ordinarily within 30 days.

If you are not satisfied with our response, you can complain to the Office of the Australian Information Commissioner: www.oaic.gov.au, telephone 1300 363 992, or GPO Box 5218, Sydney NSW 2001.

If you are in the United Kingdom or the European Economic Area, you may also complain to your own supervisory authority.

12. Cookies and the website

Our website uses cookies and similar browser storage for three purposes:

  • To work. When you sign in, the website keeps your session in your browser's local storage, and it remembers the language you chose. The forms that create an account, sign you in, reset a password or contact us are protected by hCaptcha, which may set its own cookies to tell people from automated software.
  • To measure the website. We use Microsoft Application Insights, which sets two cookies, ai_user and ai_session, to recognise a returning browser and to group the pages viewed in one visit. We use what it records to run and improve the website, and for nothing else.
  • For live chat. The chat window is provided by Re:amaze, which stores information in your browser so that a conversation continues from page to page.

We do not use advertising cookies. You can block or delete cookies and browser storage in your browser's settings; if you do, signing in and live chat may not work. If we ever introduce advertising cookies, we will update this policy first and ask for your consent where the law requires it.

13. Third-party and open source components

The Software includes third-party and open source components, and downloads AI models published by others. They are listed with their licences at https://simplixplor.app/notices. Those components run on your equipment under our control and do not send your data anywhere; where one of them would, it is described in section 4.

14. Changes to this policy

We may update this policy. The current version is always published at https://simplixplor.app/privacy, and the date it took effect is at the top. Where a change materially affects how we handle your personal information, we will tell you before it takes effect.
